overseas company
A company incorporated outside the UK that has a branch or a subsidiary company in the UK. Overseas companies with a place of business in the UK have to make a return to the Registrar of Companies, giving particulars of their memorandum of association, directors, and secretary as well as providing an annual balance sheet and profit and loss account.
